Terms of Service

1. Acceptance of Terms

By accessing or using the askPear platform ("Service"), operated by askPear ("Company", "we", "our", or "us"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or organization, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service. These Terms apply to all visitors, users, and customers of the Service.

2. Description of Service

askPear is a customer analytics and marketing automation platform that provides:

• Customer Profile Management: Unified customer profiles with support for multiple identifiers including email, phone, and LINE messaging platform integration
• Event Tracking & Analytics: Real-time behavioral tracking and event ingestion via REST API
• Customer Segmentation: Dynamic audience segments based on customer attributes and behaviors
• Marketing Automation: Visual flow builder for customer journeys and automated marketing campaigns
• LINE Messaging Integration: Native integration with LINE Official Account platform for messaging and engagement
• API Access: Programmatic access to customer data and platform features

3. User Accounts and Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Each customer account is associated with an organization, and data is isolated between organizations. You may only access data and features within organizations where you have authorized membership.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service in any way that violates applicable laws or regulations
• Transmit, store, or process illegal, harmful, or inappropriate content
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the Service to send unsolicited communications or spam
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service in violation of any third-party rights, including LINE Terms of Service

5. Data and Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all customer data you upload or input into the Service. You grant us a limited license to process this data solely for the purpose of providing the Service to you. You represent and warrant that you have all necessary rights and consents to provide customer data to us and that such provision complies with all applicable privacy laws.

6. Payment Terms

Payment terms will be specified in your subscription agreement or order form. All fees are non-refundable unless otherwise specified. We reserve the right to modify our pricing with 30 days' notice to existing customers.

If payment is overdue by more than 30 days, we may suspend your access to the Service until payment is received.

7. Service Level Agreement

While we strive for high availability, the Service is provided "as available" and we do not guarantee uninterrupted access. We will make commercially reasonable efforts to maintain Service availability and provide support during business hours.

Planned maintenance will be performed during off-peak hours when possible, with advance notice provided.

8. Third-Party Integrations

The Service integrates with third-party platforms including LINE Corporation, Google, and other OAuth providers. Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the availability, functionality, or policies of third-party services.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by askPear and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES

11. Indemnification

You agree to indemnify and hold harmless askPear and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

Either party may terminate these Terms at any time with written notice. Upon termination, your access to the Service will cease immediately. Data deletion and export procedures are governed by our Privacy Policy.

We may suspend or terminate your account immediately if you violate these Terms or for non-payment.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify customers of material changes via email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Thailand.
